Artificial intelligence is reshaping the risk landscape for managed service providers, and contract language hasn't caught up. Attorney Eric Tilds, whose firm represents over 500 MSPs around the world offers a practical update on MSP contracting practices, with a focused look at two emerging pressure points.

First, we'll examine the murky question of AI governance in client environments: when a client deploys AI tools — sanctioned or shadow — how far does the MSP's monitoring, management, and security obligation extend? We'll walk through how to define scope of responsibility, allocate liability for AI-related incidents, and draft provisions that protect MSPs from open-ended exposure while still meeting client expectations.

Second, we'll turn the lens inward, addressing best practices for MSPs using AI in their own operations — from client confidentiality and data handling in AI-assisted workflows, to vendor agreements with AI tool providers, to the internal policies MSPs should have in place before an auditor or plaintiff's attorney asks. Attendees will leave with a framework for risk allocation in AI-related engagements.
